Wexøe A/S signs agreement to divest Power and Building Infrastructure divisions to Finland’s UTU Group
Værløse, Denmark — 11 December 2025 — Wexøe A/S today announced that it has signed an agreement to divest its Power and Building Infrastructure divisions to UTU Group, a Finnish, family-owned industrial group with a strong Nordic presence. The transaction marks an important strategic step for both companies and is expected to strengthen long-term opportunities for customers, employees, and partners across the region.
UTU Group, like Wexøe, is a family-owned company built on long-term thinking, trust, and close customer relationships. With established operations in Finland, Norway, and the Baltic countries, UTU Group is now expanding its Nordic footprint to include Denmark. The acquisition creates a broader platform for growth, combining complementary expertise, strong market positions, and shared ambitions for the future.
“The Power and Building Infrastructure teams have built an impressive track record and a highly respected market position,” said Mogens Brusgaard, CEO, Wexøe A/S. “In UTU Group, we have found a buyer that shares our values and approach to business. We are confident that this will create new opportunities for growth — not only in the market, but also for the talented people in these divisions.”
Olli Heinonen, CEO, UTU Group added: “Wexøe’s Power and Building Infrastructure divisions are a great strategic fit for UTU Group. We see strong potential in Denmark and look forward to investing in further development together with the teams and customers. Our shared culture and commitment to long-term partnerships give us an excellent foundation for success.
Shared values and future growth
Both Wexøe and UTU Group are rooted in a Nordic tradition of responsible business, high-quality solutions, and long-term customer collaboration. The companies share a focus on:
- People and competence — building strong teams and developing talent
- Customer-centric innovation — supporting customers with reliable, future-ready solutions
- Sustainability and responsibility — contributing to more efficient and resilient infrastructure
- Nordic collaboration — leveraging regional strength and proximity to customers
With UTU Group’s scale and investment capacity, the two divisions will gain access to a wider Nordic setup and expanded resources, enabling accelerated development of offerings and stronger market reach. At the same time, continuity for customers and employees remains central, and daily operations will continue as usual throughout the transition.
Transaction and next steps
The divestment is subject to customary closing conditions and regulatory approvals. Until completion, Wexøe and UTU Group will operate independently. Further information will be shared when the transaction closes, which we expect to end January 2026.
